A Practical Guide to BEE and Ownership Schemes

Date: 4th April 2007- Belmont Square Conference Centre, Cape Town.

EconoBEE would like to invite you to attend a full day seminar on B-BBEE and Ownership Schemes.

This one-day seminar will cover the theory and practical implementation of B-BBEE. We explain how the scorecard works and how to earn points. We cover the calculations (net equity value, flow through principle, adjusted recognition of gender), collecting of data and the rating process. We explain why it may be necessary, and why it may not be necessary to do an ownership deal.  We will be placing special emphasis on how to do an ownership deal. We tell you what works, what does not work, what tax breaks are available and how best to structure the trusts needed. Our speakers are Cathy Bryant and Keith Levenstein.

Morning Session: The finalised codes of good practice. Presenter - Keith Levenstein - CEO EconoBEE.

Afternoon Session: Broad-based Ownership Schemes. Presenter - Cathy Bryant - Cathy Bryant Attorneys BA LLB, LLM

Broad-based ownership equity schemes - the best way to structure ownership deals - how to avoid costly mistakes and do the best deals for your company.

One important aspect of BEE is the ownership element. You can sell shares in your company in order to increase your scorecard. However, there are many aspects to ownership, and they all affect the scorecard:

We ask and find answers to the following questions

  1. How will the shares be paid for?
  2. Employee ownership - how to structure a tax efficient employee scheme?
  3. Broad-based schemes - community schemes. How best to structure the scheme?
  4. Trusts - the differences between discretionary and vested trusts and which is best?
  5. Case Studies of best practice.
